FRANKFORT, Ky. (Aug. 28, 2012) — Entities authorized to transact business in Kentucky were required to file annual reports with the Secretary of State’s office and pay a $15 filing fee no later than July 2. Businesses that missed the deadline were notified that they were no longer in good standing with the Secretary of State’s office and allowed through Sept. 9 to remedy the delinquency before being administratively dissolved or having their certificates of authority revoked. Because Sept. 9 falls on a Sunday, entities may file their annual reports through Monday, Sept. 10.
Annual reports contain information such as principal place of business, officers and service of process address. They do not contain any financial information.
“Annual reports are critical to providing the public accurate information about businesses operating in the state, which facilitates more efficient and confident relationships,” said Secretary of State Alison Lundergan Grimes.
More than 171,000 entities have filed their annual reports, with more than 63 percent filing online at www.sos.ky.gov. Grimes encourages the approximately 20,000 entities that still need to file their annual reports to follow suit: “Filing online is the most efficient way to file annual reports, saving both businesses and the state time and money.”
Businesses and entities also can file the required paperwork and pay the fee in person or by mail.
Under Kentucky law, domestic entities that fail to file an annual report by the Sept. 10 deadline will be administratively dissolved; foreign entities that do not fulfill the requirement will have their certificates of authority revoked. Conducting business in Kentucky after administrative dissolution or revocation of the certificate of authority may result in civil penalties.
