KentuckyOne Health enters negotiations for sale of Louisville-based facilities and Saint Joseph Martin

(Dec. 19, 2017) – KentuckyOne Health and Catholic Health Initiatives have entered into exclusive negotiations with BlueMountain Capital Management, a private diversified alternative asset management firm, to explore a potential strategic investment which may include the sale of previously identified KentuckyOne Health hospitals and health care operations to BlueMountain, with a focus on ensuring continued access to quality health care for individuals in Louisville and across Kentucky.

The exclusive negotiation process has just begun and any transaction would be subject to due diligence, execution of a final agreement, regulatory approvals and other customary terms and conditions.

“Continuing the legacy of high quality health care, world-renowned innovation and compassion for this community is very important for KentuckyOne Health,” said Richard Schultz, vice chair of the KentuckyOne Health board of directors. “Following in-depth review of plans and proposals, we believe BlueMountain Capital Management has the potential to build upon this legacy going forward. They have the proven track-record in delivering on investments in quality care and operational performance. We look forward to continuing negotiations with the goal of reaching a definitive agreement.”

KentuckyOne Health and Appalachian Regional Healthcare (ARH) have confirmed today a Letter of Intent for the exclusive negotiation of the sale of Saint Joseph Martin. This agreement is the next step for the future of health care in the Martin, Kentucky community. If a definitive agreement is reached, it would establish the continuation of local ownership and operation of this important care facility.

Saint Joseph Martin has served the people of Floyd County since 1947, delivering care to meet the unique needs of this community with excellence, quality and compassion. By working with Appalachian Regional Healthcare, a leading local care provider with a deep understanding of the needs of patients, community partners and care providers in Martin and across Floyd County, KentuckyOne Health believes the vision for health and wellness in this area will continue.

Appalachian Regional Healthcare is a not-for-profit health system serving 350,000 residents across Eastern Kentucky and Southern West Virginia. Operating 11 hospitals, multi-specialty physician practices, home health agencies, HomeCare Stores and retail pharmacies, Appalachian Regional Healthcare is the largest provider of care and single largest employer in southeastern Kentucky and the third largest private employer in southern West Virginia.

KentuckyOne Health and Appalachian Regional Healthcare will continue their negotiations over the coming months.
